1. Website information
The website provides information about Villa Intellia's consulting services, research, publications, Professional Briefings, and ways to make an enquiry.
Website content is provided for general professional and business information. It is not a substitute for advice based on the complete facts and obligations of a particular situation.
Villa Intellia may update, correct, replace, or remove website content without notice.
2. Professional boundaries
Villa Intellia provides management consulting, organisational analysis, research, and decision-support information.Unless expressly agreed in writing through an appropriately qualified provider, Villa Intellia does not provide legal, accounting, tax, audit, investment, lending, financial, insolvency, medical, mental-health, security, engineering, or other regulated professional advice.
A website page, Professional Briefing, diagnostic result, email, or preliminary discussion does not create a regulated-advice relationship.
3. No consulting relationship from website use
Using the website, completing the Business Diagnostic, purchasing a publication, sending an enquiry, or participating in an initial discussion does not by itself create a consulting relationship.
A consulting engagement begins only when Villa Intellia and the client have agreed the scope, responsibilities, fee, professional boundaries, and applicable terms in writing.
Villa Intellia may accept, decline, limit, or refer an enquiry where the work is outside scope, capacity, professional competence, legal or ethical boundaries, or institutional fit.
4. Digital products
Digital products may include Professional Briefings, reports, workbooks, guides, templates, recordings, or other downloadable publications.
The product page will identify the principal description, format, price, and delivery method.
Villa Intellia will take reasonable care to ensure that the product supplied corresponds with its description and that the file can be accessed using ordinary compatible software.
The purchaser is responsible for checking that their device and software can open the stated file format.
5. Licence granted to the purchaser
Unless a product states a different licence, purchase grants the named purchaser a limited, non-exclusive, non-transferable licence to:- download and retain one working copy of the product;
- make reasonable backup copies for the purchaser's own use;
- read and use the product for internal personal or organisational reference;
- and discuss its contents within the purchasing organisation where access is limited to people who reasonably need it for that internal purpose.
Purchase does not transfer ownership of copyright, methodology, trademarks, frameworks, designs, or other intellectual property.
6. Prohibited use
Without prior written permission, a purchaser or website user must not:- reproduce or distribute a digital product beyond the licensed internal use;
- sell, sublicense, rent, lend, publish, upload, share publicly, or provide the file to another organisation;
- remove copyright, licence, authorship, or source notices;
- adapt, translate, extract, or repackage substantial parts of a product for distribution;
- convert the product into a competing report, briefing, course, workshop, template, checklist, diagnostic, software tool, consulting method, or commercial service;
- use automated systems to harvest, reproduce, or reconstruct proprietary content;
- represent Villa Intellia as endorsing a person, organisation, claim, product, decision, or service without written permission;
- or use Villa Intellia material unlawfully, deceptively, coercively, or in a way that infringes the rights of another party.
Short quotations may be used where permitted by law, properly attributed, and not used to reproduce the substance or commercial value of the product.
7. Organisational and multi-user licensing
A standard purchase is intended for the purchaser and reasonable internal use within the purchasing organisation, subject to the product licence.
Where a product is to be distributed widely, incorporated into training, used across related entities, supplied to clients, or embedded into organisational systems, written permission or a separate licence may be required.

8. Prices and payment
Prices are shown in New Zealand dollars unless the product page states otherwise.
The purchaser is responsible for any fees charged by their bank, payment provider, or currency-conversion service.
A purchase is complete when payment has been successfully processed and the order has been accepted.
Villa Intellia may correct an obvious pricing or product-description error. Where payment has already been taken for an order affected by such an error, Villa Intellia will contact the purchaser and provide an appropriate option, including a refund where the order cannot be supplied as described.
9. Delivery
Digital products are delivered through the method stated at checkout, which may include an immediate download link or delivery by email.The purchaser must provide an accurate email address and should check spam or junk folders where delivery is by email.
If a product does not arrive or the file cannot be accessed, contact Villa Intellia with the purchaser's name, purchase email, date, and product title. Villa Intellia may verify the transaction before reissuing access.
10. Refunds and consumer rights
Villa Intellia does not ordinarily provide a refund merely because a purchaser changes their mind after a digital product has been supplied.However, this does not limit rights that cannot lawfully be excluded. If a digital product is faulty, materially different from its description, not supplied, or otherwise fails to meet an applicable legal guarantee, contact Villa Intellia so that the problem can be assessed and an appropriate remedy provided.
Depending on the circumstances and applicable law, the remedy may include correction, replacement, renewed access, or refund.
Nothing in these terms excludes, restricts, or modifies any right or remedy under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other applicable law where that right or remedy cannot lawfully be excluded or modified.
11. Intellectual property
Unless otherwise stated, website content and digital products are owned by or licensed to Villa Intellia Limited.
This includes text, publications, graphics, designs, names, logos, frameworks, models, methods, diagrams, diagnostic structures, and downloadable materials.
